These Terms of Service ("Terms") govern the use of services provided by Ottamate AI LLC, doing business as Calls Made Easy ("Company," "we," "us," or "our").
By accessing or using our services, the client ("Client," "you," or "your") agrees to be bound by these Terms.
1. Description of Services
Calls Made Easy provides artificial intelligence-powered automation services including but not limited to:
- AI voice receptionists
- Automated call handling
- SMS messaging systems
- Scheduling automation
- CRM integrations
- Workflow automation
- AI-generated responses
These services may operate through integrations with third-party systems.
The services are intended to assist with business communications and workflow automation but are not guaranteed to operate without interruption or error.
2. AI System Disclaimer
Our services utilize artificial intelligence and automated decision systems. The Client acknowledges and agrees that:
- AI systems may generate inaccurate, incomplete, delayed, or unexpected responses.
- AI outputs should be reviewed and verified where appropriate.
- The Company does not guarantee accuracy of AI-generated responses.
- The Client assumes responsibility for any actions taken based on outputs from the system.
The Company shall not be liable for damages resulting from AI-generated communications, recommendations, scheduling actions, or responses.
3. Communication Handling
Our systems may communicate with customers on the Client's behalf through channels including but not limited to:
- Phone calls
- SMS messages
- Voicemail
- Web chat
- Social media messaging
- Email integrations
The Client acknowledges that automated communications may not always perfectly reflect the Client's preferences, policies, or business practices.
The Client is responsible for reviewing configurations, scripts, and system behavior before and during use.
4. Legal Compliance Responsibilities
The Client is solely responsible for complying with all applicable laws governing communications with customers. This includes but is not limited to:
- Telephone Consumer Protection Act (TCPA)
- CAN-SPAM Act
- GDPR and other privacy regulations
- State and international call recording consent laws
- Telemarketing and messaging regulations
The Company does not provide legal advice and assumes no responsibility for the Client's compliance with such laws.
If the Client uses the system to conduct outbound communications, the Client is responsible for ensuring proper consent and opt-in requirements are satisfied.
5. Call Recording and Data Handling
Certain services may involve call recording, transcription, or analysis of communications. The Client is responsible for:
- Informing callers if calls are recorded where required by law
- Obtaining proper consent where required
- Ensuring compliance with applicable recording regulations
The Company is not responsible for violations of recording laws or consent requirements.
6. Third-Party Services and Integrations
Our services rely on third-party platforms and infrastructure providers including but not limited to telephony providers, AI model providers, hosting infrastructure providers, CRM platforms, messaging platforms, and workflow automation platforms.
The Company does not control these platforms and is not responsible for:
- Service outages
- API failures
- Service interruptions
- Changes in third-party policies
- Third-party data loss
7. Service Availability
While we strive to maintain reliable service, we do not guarantee uninterrupted service, error-free operation, or constant system availability. Temporary outages, maintenance windows, and third-party disruptions may occur.
8. Client Responsibilities
The Client agrees to:
- Maintain accurate integration credentials
- Review system behavior periodically
- Notify the Company promptly of system issues
- Use the system in a lawful and ethical manner
Failure to report issues in a timely manner may limit the Company's ability to address potential problems.
9. Acceptable Use
The Client may not use the services for unlawful or abusive activities including but not limited to:
- Fraudulent communications
- Impersonation or deception
- Harassment or abusive messaging
- Unlawful telemarketing
- Spam campaigns without proper consent
- Attempts to exploit or disrupt the platform
Violation of these policies may result in immediate suspension or termination of services.
10. Payment and Billing
Fees for services will be specified in the Client's agreement, invoice, or subscription plan. Unless otherwise stated:
- Subscriptions renew automatically
- Payment is due according to the billing cycle
- Failure to pay may result in suspension of services
All payments are non-refundable unless otherwise agreed in writing. The Company reserves the right to adjust pricing with reasonable notice.
11. Service Suspension and Termination
The Company reserves the right to suspend or terminate services if:
- The Client violates these Terms
- The Client engages in unlawful activity
- The Client's usage creates risk to infrastructure or legal exposure
Services may also be suspended for non-payment.
12. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for lost profits, lost business opportunities, business interruption, reputational damage, or indirect or consequential damages.
In no event shall the Company's total liability exceed the total amount paid by the Client for services during the previous three (3) months.
13. Indemnification
The Client agrees to indemnify and hold harmless the Company and its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, or legal expenses arising from:
- The Client's use of the services
- The Client's communications with customers
- Violations of applicable laws or regulations
- Misuse of the system
14. Data and Privacy
The Client acknowledges that data processed through the system may pass through third-party services used to operate the platform.
While we implement reasonable security measures, we cannot guarantee absolute security of data transmitted through the internet.
Clients should avoid transmitting highly sensitive information unless appropriate safeguards are in place.
15. Force Majeure
The Company shall not be liable for delays or failures caused by events beyond our reasonable control including but not limited to internet outages, cloud provider disruptions, natural disasters, government actions, acts of war, and labor disputes.
16. Modifications to Terms
The Company reserves the right to update these Terms at any time. Clients will be notified of material changes when reasonably possible. Continued use of services after modifications constitutes acceptance of the updated Terms.
17. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Montana, without regard to conflict of law principles.
